Keith D. Jue, Review of William A. Klein and John C. Coffee, Business Organization and Finance – Legal and Economic Principles, 1986 Colum. Bus. L. Rev. 195

Professors Klein and Coffee present a lucid, brief, and accessible account of the economic and legal principles that shape and inform the establishment, organization, operation and financing of business organizations. The basic approach which the authors have taken is to start with the assumption that their readers are newcomers to business organization and finance. Accordingly, the emphasis must be, and is, placed on a systematic but not overly technical exposition of the way in which relevant legal principles and economic facts of business interact with the decision-making process. Comprehensive though not exhaustive, in-depth yet not confusing, Business Organizations represents a competent survey of the legal and business considerations involved in organizing and financing a business.
